Agreement to Terms
By accessing or using services provided by BestDid (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
Services
BestDid provides software engineering services including web development, mobile app development, cloud and DevOps, AI and machine learning, API development, and security services. The specific scope, deliverables, and timeline for each project are defined in individual project agreements.
Project Agreements
Each engagement is governed by a separate project agreement or statement of work that outlines scope, milestones, deliverables, timeline, and fees. In case of conflict between these Terms and a project agreement, the project agreement takes precedence.
Payment Terms
- Payment terms are specified in each project agreement.
- Unless otherwise agreed, invoices are due within 14 days of receipt.
- Late payments may incur reasonable interest charges.
- We reserve the right to pause work on overdue accounts.
Intellectual Property
- Client ownership: Upon full payment, you own all custom code, designs, and deliverables created specifically for your project.
- Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, and libraries. You receive a perpetual, non-exclusive license to use them as part of your deliverables.
- Open source: Any open-source components used in your project remain subject to their respective licenses.
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the relationship.
Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. Beyond this, services are provided “as is” without additional warranties, express or implied.
Limitation of Liability
Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
Termination
- Either party may terminate an engagement with 30 days’ written notice.
- Upon termination, you are responsible for payment of all work completed up to the termination date.
- We will deliver all completed work and materials upon final payment.
Governing Law
These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation before pursuing formal resolution.
Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
